auditor和Director之间的冲突是agent theory讨论的范围。
Agency 问题源于 authority delegation，更准确说是讨论 shareholder和 management之间的关系。auditor是应该完全 independent，不过由于是shareholder任命，与director 之间的利益冲突，间接上是可以转为 shareholder和 director的冲突。还是稍微有点差异。 : []
